1. General Overview

By entering into a dealer agreement with EKW, you agree to comply with the terms and conditions outlined in this document. These terms govern your rights and obligations as an authorized dealer of EKW Wheels products.

2. Dealer Eligibility

To become and remain an authorized dealer, you must meet the following requirements:

• Possess a valid business license and resale certificate (if applicable).
• Operate a legitimate retail or online store with regular business hours.
• Agree to promote and sell EKW Wheels products exclusively in accordance with the Company’s brand guidelines.

3. Authorized Dealer Status

• Authorized dealers are granted non-exclusive rights to market, promote, and sell EKW Wheels products.
• Dealers must represent themselves as independent entities and not as employees or agents of the Company.
• Authorized status may be revoked at any time if the Dealer fails to meet the obligations outlined in this agreement.

4. Pricing and Payments

• The Dealer will receive access to dealer-exclusive pricing. Pricing is subject to change with prior notice.
• Dealers are prohibited from advertising products below the Minimum Advertised Price (MAP) policy, if applicable.
• Payment terms will be as agreed upon during onboarding. Orders will not ship until full payment is received unless otherwise approved.

5. Order Process and Fulfillment

• Orders must be placed via a Company representative.
• All orders are subject to product availability.
• Dealers are responsible for shipping and handling costs unless otherwise stated.
• Orders cannot be canceled or modified once they have been processed for shipment.

6. Returns and Warranty Claims

• Returns are only accepted for defective products or shipping errors.
• Warranty claims must be submitted through the email with detailed documentation and proof of purchase.
• EKW reserves the right to inspect and determine the validity of any warranty claim.

7. Marketing and Branding Guidelines

• Dealers must use authorized images, logos, and promotional materials provided by EKW.
• Misrepresentation of the Company’s products, brand, or policies is strictly prohibited.
• Any custom marketing or co-branding initiatives must receive prior written approval from EKW Wheels.

8. Confidentiality

• The Dealer agrees to keep all pricing, product information, and business communications confidential.
• Confidential information may not be disclosed to any third party without prior written consent from the Company.

9. Compliance with Laws

Dealers must comply with all applicable local, state, and federal laws, including but not limited to:

• Tax collection and remittance.
• Import/export regulations for international sales.
• Consumer protection and warranty laws.

10. Termination of Agreement

• Either party may terminate this agreement with 30 days' written notice.
• The Company reserves the right to terminate the agreement immediately in the case of:
• Upon termination, the Dealer must cease all use of the Company’s trademarks and logos and return any proprietary materials.

11. Limitation of Liability

• The Company shall not be held liable for any indirect, incidental, or consequential damages arising from the Dealer’s operations.
• EKW liability is limited to the cost of the products sold to the Dealer.

12. Indemnification

The Dealer agrees to indemnify and hold harmless EKW Wheels from any claims, damages, or losses arising from the Dealer’s business operations, including but not limited to:

• Customer complaints or lawsuits.
• Tax liabilities or legal infractions.
• Misrepresentation of the Company’s products or brand.

13. Governing Law

This agreement shall be governed by and construed in accordance with the laws of FL, without regard to its conflict of laws principles.

14. Amendments

EKW Wheels reserves the right to amend these terms and conditions at any time. Dealers will be notified of changes via email. Continued participation in the dealer program constitutes acceptance of the updated terms.
